How to Create an Offering

This article explains how an issuer can create an Offering to sell their Asset. It explains in detail the different features that can be configured in an Offering, including the quantity of tokens, price, min/max investment, and investor eligibility.

What is an Offering?

An Offering is how you sell your Asset to investors in your Marketplace. Once you have created an Asset and minted your desired number of tokens into it, an Offering is the process where investors make purchases of those tokens. The Offering is the final step in tokenizing your Asset. 

As the issuer, you decide how many Offerings to use to sell your Asset, and how many tokens to sell in each Offering, as well as the criteria for investors to be eligible to participate. 

How to Create an Offering

  1. Login to your issuer account and enter your Marketplace.
  2. From the Marketplace dashboard, click Offerings .
  3. Click Create Offering in the top-right corner of your Offerings page. 
  4. Follow the prompts to configure the details of your offering:
    1. General Information: 
      1. Name: The name that investors will see on the Offering card when logged into your Marketplace using their investor account.
      2. Offering Summary: Any details you wish to share with investors regarding your Offering.
      3. Company and Security Token: Select the Company and Asset (also called a Security Token) which will be listed in this Offering.
      4. Under "Primary Contact Details Visibility", use the toggle bar to show/hide your Issuer's primary contact details (name, phone number and email address) from the Offering listing.
      5. Click Next to proceed.
    2. Details: Configure the details of your offering:
      1. Offering Visibility: Determine whether to make your Offering visible to all investors in your Marketplace, or only to selected investors.
      2. Offering Type: Select the regulatory status of your Offering type.
      3. End Date: Select whether to include an end date for your offering. If entered, your Offering will cease to be visible to investors in your Marketplace after the end date, regardless of whether your funding target was achieved.
      4. Number of Security Tokens: This is the quantity of tokens you intend to offer to investors in this Offering
      5. Price Per Security Token: The price per token that investors must pay to participate in the Offering.
      6. Minimum Investment: This is the minimum amount in currency units, not tokens, that any investor must invest in the Offering.
      7. Maximum Investment: This is the maximum amount in currency units, not tokens, that any investor can invest in the Offering.
      8. Distribution Frequency: This is an optional field you can use if your Offering has a distribution, to inform the investor about the frequency of distributions.
      9. Detailed Offering Description, Disclaimer and Risk Summary: Use these fields to enter any details, disclaimers or other legal information that your investors must be aware of before they decide to invest.
      1. Click Next to proceed.
    1. Eligibility: Configure the eligibility details for your offering:
      1. Under the investor accreditation box, use the toggle bar to determine whether you wish to restrict this Offering to only Accredited Investors in your Marketplace. Note that this option is only available if accreditation has been turned on in your Marketplace.
      2. Jurisdiction: Select the countries and states/provinces (if applicable) that you wish to make your Offering available in. If you choose not to specify, investors in any jurisdiction will be able to invest in this Offering.
      3. Investor Type: Select whether Individual or Institutional investors are eligible to participate in this Offering. You may select both options.
      4. Click Next to proceed.
    2. Diligence: Add a non-disclosure agreement (NDA) or any other legal documents that investors must view or sign by uploading files using the Upload File button. 
      1. Once you upload a document, you can click Signature and Fields to configure any data entry or signature/initial fields that the investor must complete before proceeding. 
      2. Click Next to proceed.
    3. Payment Methods: Configure the payment methods that an investor can use to make payment for a token purchase by clicking the toggle bar next to your chosen payment methods.
      1. Click Next to proceed.
    4. Images and Videos: Configure the Offering webpage with any images, infographics or videos that you have prepared to promote your Offering:
      1. Upload images using the Upload File button. Supported file formats are .png, .jpg, .svg or .webp files. The maximum file size is 20 MB. 
      2. To upload a video, paste the URL link to a video hosted on YouTube.
      3. Click Next to proceed.
    5. Summary: Carefully review all the information entered in the previous steps and click the checkbox to confirm, then click Launch Offering to immediately set your offering live, or click Schedule Launch to specify a date when the Offering will become available to investors.
      1. Note: Scheduling an offering does NOT make it automatically available to investors on that date. Instead, investors see a "coming soon" status on the offering card when in your Marketplace. You still need to manually set the offering live on the specified date.
